Henderson Land Development Company Limited
HK$10 Billion 5-Year Term Loan/Revolving Credit Facility

(Hong Kong, 22nd June 2011) Henderson Land Development Company Limited ("Henderson Land" or the "Group") is pleased to announce the signing of a HK$10 billion five-year syndicated term loan / revolving credit facility (the "Facility") with a consortium of 17 leading international and local financial institutions on 22nd June 2011.

The Facility was very well received by international as well as local banks and the aggregate participation commitment amount from all participating financial institutions amounting to more than double the initial target facility amount of HK$5 billion. In view to such substantial over-subscription, the Group decided to scale back the aggregate participation commitment amount and increase the amount of the Facility to HK$10 billion. The overwhelming response to this Facility clearly demonstrates the confidence and support of the banking community in the strong financial position of Henderson Land and the superior credit quality of the Group.

This 5-year Facility carries an interest rate of HIBOR plus 0.75% per annum. The Facility will partly be used for refinancing the existing syndicated credit facilities of the Group that are going to expire this year, and partly for the general corporate funding requirement of Henderson Land and/or its subsidiaries.

The principal business activities of Henderson Land are property development and property investment. The Group is one of the largest property companies in Hong Kong and it is also active in the property development and property investment business in Mainland China. Other business activities of the Group include project management, construction, property management, provision of home mortgage finance, public utility, hotel and retailing. The Group also holds a 39.88% shareholding interest in The Hong Kong and China Gas Company Limited.
